Arif Shivji, CPA MBA CFA

Mr. Shivji is a registered CPA in BC & Alberta, US CPA in Illinois, CFA charterholder with the Chartered Financial Analyst Institute. He holds a Bachelor of Commerce degree from the University of Calgary and a Masters of Business Administration from the Richard Ivey School of Business. In early 2021, Mr. Shivji completed the National Association of Corporate Directors (“NACD”) Certification course based out of Arlington, Virginia.

After completing graduate school, Mr. Shivji became Manager of Transaction Services with PwC Advisory where he performed buy-side due diligence on acquisitions in Canada and US in various industries including pharmaceuticals, mining, and manufacturing. In order to get more international deal experience, Arif transferred to the PwC UK office to work on larger transactions, such as FedEx and private equity acquisitions

Mr. Shivji has been providing part time CFO services to private & public companies, such as a Canada wide mortgage firm, junior petroleum/mining companies, private equity investment funds, real estate brokerage, international solar business, and a transportation business. Mr. Shivji has been a promoter of several public vehicles listed on the TSXV exchange where he sourced capital in order to complete an IPO and then negotiated on mergers with target companies after completing required due diligence

He also has hands on experience with building start ups, including an acquisition of cash flowing petroleum company using bank & mezzanine financing. Secondly, he was CFO of Predator Midstream Ltd. that grew from a 3 person management team to 90 staff when it was sold to large public company named Secure Energy. This has provided a diverse experience set to draw upon, such as staff role definition, ERP set up, and cash flow forecasting (all of which run in parallel in a growing business).

HISTORY

CPC Equities was set up in 2003 to manage the accounting and finance issues for small businesses ($2M-$10M valuation). CPC Equities has performed a variety of services, including

– Performing buy side due diligence on acquisitions in Canada, US and UK
– Providing fairness opinions in transactions and expert witness support in lawsuits related to valuation claims
– Leading a turn around of business in bankruptcy to improve monthly cash flow and forecast coverage of secured liabilities
– Managing compliance and accounting for family offices and investment funds ($50M NAV)
– Setting up 2 public shells to achieve shareholder return by performing deal origination and capital raising
– Overseeing M&A transactions ($20M) for growing companies by setting up efficient back office to scale up for over 50% annual growth

The building in the CPC Equities logo represents the iconic tower in middle of downtown Calgary, Alberta. Our company started in 2003 to fulfill the need for experienced finance professionals to assist many junior public companies listed on the TSXV located there.
